REALMINDX LIMITED
TERMS AND CONDITIONS FOR TEACHERS
These Terms and Conditions (“Terms”) govern the registration, engagement, and participation of teachers (“Educators,” “Teachers,” or “Users”) on the RealMindX digital platform (“Platform”), operated by RealMindX Limited (“RealMindX,” “we,” “us,” or “our”).
By registering, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not register or use the Platform.
1. PURPOSE AND SCOPE
1.1 These Terms establish the general framework governing the professional relationship between RealMindX and registered teachers.
1.2 This agreement functions as a preliminary and non-exclusive engagement arrangement and does not constitute direct employment with RealMindX unless expressly stated in a separate written contract.
1.3 These Terms apply to all teachers who:
- Register on the Platform,
- Provide educational services through RealMindX,
- Participate in training, placement, or recruitment programmes.
1.4 Where a teacher enters into a separate contract with a school or institution, such agreement shall operate alongside these Terms.
2. ELIGIBILITY AND REGISTRATION
2.1 To register, a teacher must:
- Be legally qualified to teach,
- Possess relevant academic and professional credentials,
- Provide accurate personal and professional information,
- Be legally capable of entering into contracts.
2.2 Teachers agree that all information submitted during registration is truthful, current, and complete.
2.3 RealMindX reserves the right to verify credentials, conduct background checks, and request supporting documentation.
2.4 Providing false, misleading, or incomplete information may result in immediate suspension or termination.
3. STATUS OF TEACHERS
3.1 Teachers registered on RealMindX are considered independent education professionals unless otherwise agreed in writing.
3.2 Registration does not guarantee employment, placement, or assignment.
3.3 Teachers are not agents, employees, or representatives of RealMindX unless specifically contracted.
3.4 Teachers remain responsible for their personal tax obligations, statutory payments, and professional licensing.
4. SERVICES PROVIDED BY REALMINDX
RealMindX provides the following services to registered teachers:
4.1 Digital Platform Access
- Profile creation and management,
- Job matching and placement support,
- Communication tools.
4.2 Professional Development
- Online training,
- Workshops and certification programmes,
4.3 Recruitment and Placement Support
- Matching teachers with schools,
- Facilitating interviews,
- Supporting onboarding processes.
4.4 Administrative Support
- Payment facilitation (where applicable),
- Performance monitoring,
- Documentation support.
4.5 Brand Promotion
- Marketing teacher profiles,
- Visibility to partner schools.
5. COMMISSION AND PAYMENT STRUCTURE
5.1 Commission Framework
RealMindX operates on a commission-based facilitation model.
5.2 The applicable commission may be:
- A percentage of teaching fees,
- A fixed placement fee,
- A subscription or service fee, as determined by prevailing policies.
5.3 Commission rates shall be communicated in writing.
5.4 Teachers agree that RealMindX is entitled to deduct its commission before remitting payments, where applicable.
5.5 Payment Processing
Where RealMindX facilitates payments:
- Payments shall be processed through approved channels,
- Teachers must provide valid banking or mobile money details,
- Delays due to technical or institutional issues shall not constitute breach.
5.6 Direct Payments
Where teachers receive payments directly from schools:
- Teachers remain obligated to remit agreed commissions to RealMindX,
- Failure to remit constitutes breach of contract.
5.7 Non-Payment and Disputes
RealMindX is not liable for non-payment by schools but may assist in recovery efforts.
6. TEACHER OBLIGATIONS AND RESPONSIBILITIES
Teachers registered on the Platform agree to:
6.1 Professional Conduct
- Maintain high ethical standards,
- Demonstrate integrity, respect, and professionalism,
- Avoid misconduct, harassment, or discrimination.
6.2 Teaching Standards
- Deliver quality instruction,
- Prepare adequately for lessons,
- Use approved curriculum where required.
6.3 Compliance
- Adhere to school policies,
- Follow national education regulations,
- Observe child protection guidelines.
6.4 Availability and Commitment
- Honour agreed schedules,
- Provide timely notice of unavailability,
- Avoid unjustified absenteeism.
6.5 Communication
- Respond promptly to official communications,
- Maintain updated contact information.
6.6 Confidentiality
- Protect student data,
- Safeguard institutional information,
- Avoid unauthorized disclosure.
6.7 Platform Usage
- Use the Platform only for lawful purposes,
- Avoid misuse, impersonation, or manipulation.
7. PERFORMANCE EVALUATION AND MONITORING
7.1 RealMindX may conduct periodic evaluations through:
- Feedback from schools,
- Student assessments,
- Direct observations.
7.2 Performance data may influence:
- Continued registration,
- Placement opportunities,
- Training requirements.
7.3 Teachers agree to cooperate with monitoring processes.
8. INTELLECTUAL PROPERTY
8.1 All platform content, logos, systems, and materials belong to RealMindX.
8.2 Teachers retain ownership of original teaching materials they create, unless otherwise agreed.
8.3 By uploading content, teachers grant RealMindX a non-exclusive licence to use such materials for educational and promotional purposes.
8.4 Unauthorized reproduction or distribution is prohibited.
9. DATA PROTECTION AND PRIVACY POLICY
9.1 RealMindX collects personal data for:
- Registration,
- Placement,
- Communication,
- Legal compliance.
9.2 Data may include:
- Identification information,
- Academic records,
- Payment details,
- Performance records.
9.3 RealMindX shall:
- Protect data confidentiality,
- Use secure storage systems,
- Limit access to authorized personnel.
9.4 Data may be shared with:
- Partner schools,
- Regulatory authorities,
- Payment service providers, where necessary.
9.5 Teachers consent to data processing in accordance with applicable data protection laws.
10. CONFIDENTIALITY
10.1 Teachers shall not disclose:
- Business strategies,
- Client information,
- Platform data,
- Internal policies.
10.2 Confidentiality obligations survive termination.
10.3 Breach may result in legal action.
11. CONFLICT OF INTEREST AND NON-CIRCUMVENTION
11.1 Teachers shall not bypass RealMindX to engage schools introduced through the Platform without consent.
11.2 Direct engagement without authorization within a defined period constitutes circumvention.
11.3 Breach attracts penalties, suspension, or termination.
12. SUSPENSION AND TERMINATION
12.1 RealMindX may suspend or terminate registration for:
- Breach of Terms,
- Misconduct,
- Fraud,
- Reputational harm.
12.2 Teachers may terminate their registration by written notice.
12.3 Termination does not waive outstanding obligations.
13. LIMITATION OF LIABILITY
13.1 RealMindX shall not be liable for:
- Loss of income,
- Employment disputes,
- Indirect damages.
13.2 Liability is limited to fees paid to RealMindX.
13.3 Nothing limits liability for fraud or statutory violations.
14. INDEMNIFICATION
Teachers agree to indemnify RealMindX against claims arising from:
- Negligence,
- Misrepresentation,
- Breach of obligations,
- Professional misconduct.
15. DISPUTE RESOLUTION PROCEDURES
15.1 Internal Resolution
All disputes shall first be addressed through internal mediation.
15.2 Negotiation
Parties shall attempt amicable settlement within 30 days.
15.3 Alternative Dispute Resolution
Unresolved disputes shall be referred to arbitration or mediation in accordance with applicable ADR laws.
15.4 Jurisdiction
Where ADR fails, disputes shall be subject to the courts of competent jurisdiction in Ghana.
16. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.
17. AMENDMENTS AND UPDATES
17.1 RealMindX may revise these Terms periodically.
17.2 Updates shall be communicated through the Platform.
17.3 Continued use constitutes acceptance of revised Terms.
18. FORCE MAJEURE
RealMindX shall not be liable for failure caused by events beyond reasonable control, including:
- Natural disasters,
- System failures,
- Government actions,
- Pandemics.
19. ENTIRE AGREEMENT
These Terms constitute the entire preliminary agreement between the teacher and RealMindX, superseding prior communications.
20. ACKNOWLEDGEMENT AND ACCEPTANCE
By registering on the RealMindX Platform, the teacher confirms that:
- They have read and understood these Terms,
- They accept all obligations herein,
- They agree to be legally bound.
